These Terms of Service govern your access to and use of the Karos Labs website and services. Please read them carefully. By using our site or engaging our services, you agree to these terms.

01Agreement to terms

These Terms of Service ("Terms") are a legal agreement between you and KAROS PROJECT MANAGEMENT SERVICES - FZCO, a company registered in the IFZA Free Zone, Dubai Silicon Oasis, United Arab Emirates (license no. 87692), trading as "Karos Labs" ("Karos Labs," "we," "us," or "our"). By accessing or using karoslabs.com (the "Site") or any of our services, you agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

02Our services

Karos Labs is a marketing agency offering AI-assisted strategy, creative, content, and growth services. The Site provides information about those services and ways to contact us. The specific scope, fees, deliverables, and timelines of any engagement are set out in a separate proposal, statement of work, or agreement between you and Karos Labs. If there is a conflict between these Terms and a signed agreement, the signed agreement controls for that engagement.

03Eligibility

You must be at least 18 years old and able to form a binding contract to use our Site and services. By using them, you represent that you meet these requirements and that any information you provide is accurate.

04Accounts & access

Some services require an account or access to a client portal or operations tools. You are responsible for keeping your login credentials confidential and for all activity under your account. Notify us promptly at hello@karoslabs.com if you suspect unauthorized use. Where you connect a third-party account (such as Google) to our tools, you authorize us to access only the data described in our Privacy Policy, and you may disconnect at any time.

06Client engagements, fees & deliverables

Paid engagements are governed by the proposal or agreement you sign with us, which sets out scope, fees, payment terms, and timelines. Unless that agreement says otherwise, fees are due as invoiced, and estimates of results or performance are good-faith projections, not guarantees. Marketing outcomes depend on many factors outside our control.

07Intellectual property

The Site, including its design, text, graphics, logos, and the Karos Labs name and marks, is owned by Karos Labs or its licensors and is protected by intellectual-property laws. You may not use our marks without prior written permission.

Ownership of deliverables we create for a client is governed by the applicable engagement agreement. Absent a contrary agreement, finished, paid-for deliverables transfer to the client on full payment, while Karos Labs retains ownership of its pre-existing tools, methods, templates, and know-how.

08Third-party services

Our Site and services may link to or integrate with third-party platforms (for example, scheduling, email, or Google services). We do not control those third parties, and your use of them is subject to their own terms and privacy policies. We are not responsible for third-party services.

09Privacy

Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Site or services, you also agree to that policy.

10Disclaimers

The Site and services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law. We do not warrant that the Site will be uninterrupted, error-free, or secure, or that any particular marketing result will be achieved.

11Limitation of liability

To the fullest extent permitted by law, Karos Labs and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or relating to your use of the Site or services. Our total liability for any claim relating to the services will not exceed the amount you paid us for the specific engagement giving rise to the claim in the twelve months before the claim, or, for use of the Site alone, one hundred US dollars (USD $100).

12Indemnification

You agree to indemnify and hold harmless Karos Labs from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site or services, your violation of these Terms, or your violation of any law or third-party right.

13Termination

We may suspend or terminate your access to the Site or services at any time if you breach these Terms or to protect our systems or other users. You may stop using the Site at any time. Paid engagements are terminated according to the terms of the applicable agreement. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, and indemnification) will survive.

14Governing law & disputes

These Terms are governed by the laws of the United Arab Emirates, as applied in the Emirate of Dubai, without regard to conflict-of-laws principles. Any dispute arising from these Terms or your use of the Site or services will be subject to the exclusive jurisdiction of the courts of Dubai, United Arab Emirates, unless a signed engagement agreement specifies otherwise.

15Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date above. Material changes take effect when posted, and your continued use of the Site or services after that means you accept the updated Terms.
